1. Acceptance of Terms

By accessing and using Zoomp.it ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms & Conditions ("Terms") govern your access to and use of the Service provided by ByeByte Srl ("we", "us", or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

2. Service Description

Zoomp.it is a link shortening and redirection service that enables users to create short URLs that redirect to destination URLs while preserving tracking parameters (such as UTM parameters) and opening links in the user's system browser instead of in-app browsers.

The Service includes features such as link management, analytics tracking, team collaboration, and subscription-based premium features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. User Obligations and Acceptable Use

3.1 Account Requirements

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any malicious code, viruses, or harmful content
• Engage in spam, phishing, or fraudulent activities
• Redirect to illegal, harmful, or offensive content
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any purpose that violates intellectual property rights
• Create links that redirect to malware, phishing sites, or illegal content

3.3 Content Responsibility

You are solely responsible for the content of the URLs you redirect to using our Service. We do not endorse, support, or verify the content of destination URLs. We reserve the right to remove or disable any links that violate these Terms or applicable law.

4. Payment Terms and Billing

4.1 Subscription Plans

The Service offers various subscription plans, including Free, Basic, and Premium tiers. Each plan has different features and limitations as described on our pricing page.

4.2 Payment

Subscription fees are billed in advance on a monthly or annual basis, as selected by you. All fees are non-refundable except as required by law or as explicitly stated in these Terms. You authorize us to charge your payment method for all fees due.

4.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated to you at least 30 days in advance. Your continued use of the Service after the price change constitutes acceptance of the new pricing.

4.4 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any taxes, duties, or government charges associated with your use of the Service.

5. Subscription Management

5.1 Upgrades and Downgrades

You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately, and you will be charged the prorated difference. Downgrades take effect at the start of your next billing cycle.

5.2 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.

5.3 Refunds

Subscription fees are non-refundable. However, we may provide refunds at our sole discretion in exceptional circumstances or as required by applicable law.

6. Intellectual Property Rights

6.1 Service Ownership

The Service, including its original content, features, functionality, design, and trademarks, is owned by ByeByte Srl and protected by international copyright, trademark, and other intellectual property laws.

6.2 User Content

You retain ownership of any content you create or upload through the Service. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your content solely for the purpose of providing and improving the Service.

6.3 Feedback

Any feedback, comments, or suggestions you provide regarding the Service may be used by us without restriction or compensation to you.

7. Limitation of Liability

7.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available" without warranties of any kind.

7.2 Limitation of Damages

To the maximum extent permitted by law, ByeByte Srl shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

7.3 Maximum Liability

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Termination and Account Closure

8.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings.

8.2 Termination by Us

We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent or illegal activities, or for any other reason at our sole discretion.

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account data and content, though we may retain certain information as required by law or for legitimate business purposes.

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.

9.2 Jurisdiction

Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Bari, Italy.

9.3 Informal Resolution

Before initiating formal legal proceedings, you agree to first contact us to attempt to resolve any dispute informally. We will attempt to resolve disputes in good faith within 30 days.

10. General Provisions

10.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ByeByte Srl regarding the Service and supersede all prior agreements.

10.2 Modifications

We reserve the right to modify these Terms at any time. Material changes will be notified to you via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

10.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

10.4 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
